These terms and conditions (“Terms”) govern the promotional referral incentive program (“Program”) offered by Outvoy Travel Consultants LLC (“Outvoy Travel,” “we,” or “us”) to approved business partners (“Partners”) who refer new business leads to Outvoy Travel. By participating in the Program, Partners agree to be bound by these Terms.
1. REFERRAL INCENTIVE
1.1 Outvoy Travel will allocate $20 USD per completed booking made by referred clients to the Partner’s referral incentive balance.
1.2 Partners will receive a payout when their referral incentive balance reaches or exceeds $60 USD.
1.3 A completed booking is defined as a booking where the referred client’s travel has been fulfilled, and Outvoy Travel has received final commission payment from the supplier.
1.4 No partial payouts will be made for balances below the $60 USD threshold, except upon Program termination as described in Section 7.
2. REFERRAL PROCESS
2.1 Referred clients must mention the approved business partner at the time of booking or provide the referral information on the Outvoy Adventures client intake form. If referral information is not provided at the time of booking, the referred client has up to 10 business days after booking confirmation to notify Outvoy Travel of their association with a Partner.
2.2 Referrals are limited to one referral per household.
2.3 A valid referral is defined as a new business lead that results in a completed booking as defined in Section 1.3. Duplicate referrals will not qualify for incentives.
3. PAYMENT TERMS
3.1 Payments will be processed on a quarterly basis (e.g., March 31, June 30, September 30, and December 31), provided the Partner has met the $60 USD payout threshold.
3.2 Payments exceeding $600 USD in a calendar year require the Partner to submit a federal W-9 form before further payments are made.
3.3 Payments will be made directly to the approved business partner or business owner and may take up to 30 days to process after the payout threshold is reached.
3.4 If a booking is canceled, refunded, or results in a commission chargeback, any referral bonus paid out for that booking may be deducted from future payments.
4. PROGRAM MODIFICATIONS
4.1 Outvoy Travel reserves the right to modify these Terms at any time. Notice of changes will be provided to Partners via email or other communication channels and will include the effective date of the new Terms.
4.2 Partners may opt to terminate their participation in the Program within 30 days of receiving notice of new Terms.
4.3 Previous Terms will apply to any unpaid bonuses that have accrued up to the effective date of the new Terms.
5. EXPIRATION OF REFERRAL BALANCE
5.1 If a Partner’s referral incentive balance remains below the $60 USD payout threshold for 12 consecutive months without new referral activity, the balance will expire, and no payment will be made.
5.2 Outvoy Travel may notify the Partner before expiration but is not obligated to do so.
6. ELIGIBILITY
6.1 Participation in the Program is subject to eligibility criteria determined by Outvoy Travel and may be revoked at any time for non-compliance with these Terms.
6.2 Partners are responsible for complying with all applicable laws and regulations, including tax obligations.
7. TERMINATION OF PARTICIPATION
7.1 Outvoy Travel reserves the right to terminate a Partner’s participation in the Program at any time, with or without cause.
7.2 In the event of termination, Outvoy Travel will pay out any accrued referral incentives that meet the $60 USD threshold within 30 days of termination.
7.3 If the balance is below the payout threshold at the time of termination, no payment will be made, and the balance will be forfeited.
8. MARKETING AND ADVERTISING COMPLIANCE
8.1 Partners must adhere to Outvoy Travel’s marketing and advertising guidelines. Partners are prohibited from making false, deceptive, or misleading claims about Outvoy Travel’s services.
8.2 Failure to comply with these guidelines may result in termination from the Program and forfeiture of referral bonuses.
9. LEGAL RELATIONSHIP
9.1 Participation in the Program does not create a partnership, joint venture, agency, or employer-employee relationship between Outvoy Travel and the Partner.
9.2 Partners are considered independent contractors and are solely responsible for their own business activities, including tax liabilities and compliance with applicable laws.
10. LIABILITY DISCLAIMER
10.1 Outvoy Travel is not liable for any indirect, incidental, special, or consequential damages arising from or related to the Program, including but not limited to delays in payment, loss of bonuses, or Program termination.
10.2 Participation in the Program is at the Partner’s own risk.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles.
11.2 Any disputes arising under these Terms shall be resolved exclusively in the courts of Michigan.
By participating in the Program, Partners acknowledge and agree to comply with these Terms, including any amendments made by Outvoy Travel. Outvoy Travel reserves the right to terminate or modify the Program at its sole discretion.
